Terms of Use

1. Definitions

• "Platform" means the KeptSimple platform, including all associated web applications, portals, tools, and services.
• "Organization" means the entity subscribing to and using the Platform.
• "Authorized Users" means administrators, instructors, and staff granted access to the Platform by the Organization.
• "Students" means individuals who register for classes through the Platform.
• "Subscription" means the paid access plan selected by the Organization for use of the Platform.
• "Portal" means the public-facing registration website provided to each Organization through the Platform.
• "Registration Credits" or "Credits" means prepurchased units used to cover the per-registration fee on registrations where no student payment is processed through the Platform.
• "Certificate" means a digitally generated document issued to Students upon completion of a class, containing a unique verification code for independent verification.

2. Account Registration & Access

2.1 To use the Platform, the Organization must create an account and provide accurate, complete, and current information. The Organization is responsible for maintaining the confidentiality of login credentials and for all activities that occur under its account.

2.2 The Organization may designate Authorized Users to access and manage its account. The Organization remains responsible for all actions taken by its Authorized Users.

2.3 The Organization agrees to promptly notify KeptSimple of any unauthorized access to or use of its account.

2.4 Students access the Platform using a passwordless authentication system. No passwords are stored for student accounts. Student access is restricted to the specific Portal where they have registrations.

2.5 KeptSimple administrators may access Organization accounts for the purposes of support, troubleshooting, and platform maintenance. Such access is logged and auditable.

3. Subscription & Payment Terms

3.1 Access to the Platform requires an active Subscription. The Platform offers subscription plans with monthly and annual billing cycles. Subscription plan details and pricing are published on the Platform or as separately agreed in writing.

3.2 Subscription fees are billed in advance and are non-refundable except as expressly stated in these Terms or required by applicable law.

3.3 KeptSimple reserves the right to modify pricing with at least thirty (30) days' written notice before the next billing cycle.

3.4 All fees are exclusive of taxes. The Organization is responsible for all applicable taxes, including but not limited to sales tax, use tax, VAT, and any other governmental charges arising from its use of the Platform or its Subscription.

3.5 If payment fails, the Organization's account may enter a grace period during which the account operates in read-only mode. If payment is not resolved before the grace period expires, the Organization's access to the Platform will be fully suspended until the outstanding balance is paid.

3.6 KeptSimple may offer a free trial period for new accounts. The duration and terms of the trial are communicated at the time of account creation. At the end of the trial, the Subscription automatically converts to a paid plan unless canceled.

3.7 A per-registration fee applies to each student registration (or each course within a bundle registration). The applicable fee is communicated upon account setup. This fee is collected in one of two ways: for paid registrations processed through Stripe, the fee is automatically deducted from the student payment before funds are transferred to the Organization's connected Stripe account; for registrations where no student payment is processed (e.g., free classes), the fee is deducted from the Organization's prepurchased Registration Credits. Credits are non-refundable except as required by applicable law and do not expire.

4. Student Payment Processing

4.1 The Platform facilitates payment processing for student registrations through Stripe, a third-party payment processor. Payments are processed via Stripe Connect, which splits payments between the Platform and the Organization. The Platform is not itself a payment processor. Installment payment options may be available through Klarna (via Stripe) and are subject to Klarna's and Stripe's respective terms. Additional payment methods may be available through Stripe's infrastructure and are subject to Stripe's terms.

4.2 The Organization is responsible for setting class pricing, refund policies, and communicating payment terms to Students. KeptSimple is not liable for disputes between the Organization and its Students regarding payments.

4.3 The Organization is solely responsible for determining and collecting any applicable taxes on student payments, including sales tax, VAT, or other transaction-related taxes. KeptSimple does not calculate, collect, or remit taxes on behalf of the Organization.

5. Permitted Use & Restrictions

5.1 The Platform is provided for the purpose of managing class scheduling, student enrollment, registration processing, certificate generation, payment processing, and related administrative functions.

5.2 The Organization agrees not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation;
• Attempt to gain unauthorized access to the Platform, other accounts, or KeptSimple's systems;
• Reverse engineer, decompile, or disassemble any part of the Platform;
• Resell, sublicense, or share Platform access with unauthorized third parties;
• Upload or transmit any harmful code, viruses, or malicious content.

6. Portal & Content

6.1 KeptSimple provides each Organization with a public-facing Portal for class listings and student registration. The Organization is solely responsible for the accuracy and legality of all content displayed on its Portal.

6.2 The Organization grants KeptSimple a non-exclusive, royalty-free license to host and display content uploaded to its Portal for the purpose of operating the Platform.

6.3 The Platform may generate digital Certificates for Students upon class completion. Certificates are provided as a convenience, and the Organization is responsible for the accuracy of the information that appears on them. KeptSimple or the Organization may revoke a Certificate if it was issued in error.

6.4 The Platform may support optional integrations with third-party services, including Learning Management Systems (such as Thinkific or TalentLMS). The Organization is solely responsible for enabling, configuring, and managing any such integrations. When an integration is enabled, Organization Data and student data may be transmitted to the third-party service. KeptSimple is not responsible for the privacy practices, terms of service, or data handling of any third-party service, and the Organization is responsible for ensuring that appropriate consents have been obtained and that such integrations comply with applicable law.

7. Data Ownership & Responsibilities

7.1 The Organization retains ownership of all data it inputs into the Platform ("Organization Data").

7.2 KeptSimple may access and use Organization Data solely for the purpose of providing, maintaining, and improving the Platform, and as required by law.

7.3 The Organization is responsible for ensuring that it has obtained any necessary consents for the collection and processing of personal information through the Platform. The collection and processing of personal data is further described in the Privacy Policy.

7.4 Upon termination of the Subscription, the Organization may request an export of its data within thirty (30) days. KeptSimple will make commercially reasonable efforts to provide data exports in a structured, commonly used, and machine-readable format. After the thirty (30) day export period, KeptSimple may delete Organization Data in accordance with its data retention policies and the Privacy Policy.

7.5 Certain sensitive data fields are encrypted at rest within the Platform. The Organization is responsible for determining whether collection of such data is necessary and for obtaining appropriate consent.

8. Compliance

8.1 The Platform includes optional features that may assist Organizations with regulatory compliance reporting. These features may not be applicable to all Organizations. The Organization remains solely responsible for its compliance with all applicable laws and regulations.

8.2 KeptSimple does not guarantee that use of the Platform will ensure compliance with any particular regulatory requirement.

9. Intellectual Property

9.1 KeptSimple and its licensors retain all rights, title, and interest in and to the Platform, including all software, designs, trademarks, and proprietary technology.

9.2 These Terms do not grant the Organization any rights to KeptSimple's intellectual property except the limited right to use the Platform as described herein.

10. Service Availability & Support

10.1 KeptSimple will use commercially reasonable efforts to maintain Platform availability. The Platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond KeptSimple's control.

10.2 KeptSimple will provide reasonable customer support. Support channels and response times will be communicated upon subscription.

11. Limitation of Liability

11.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEPTSIMPLE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THE USE OF THE PLATFORM.

11.2 KeptSimple's total aggregate liability under these Terms shall not exceed the total Subscription fees paid by the Organization in the twelve (12) months preceding the event giving rise to the claim.

11.3 KeptSimple is not liable for any errors, omissions, or inaccuracies in reports or certificates generated through the Platform.

12. Disclaimer of Warranties

12.1 THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12.2 KeptSimple does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

13. Termination

13.1 Either party may terminate the Subscription by providing thirty (30) days' written notice to the other party.

13.2 KeptSimple may immediately suspend or terminate the Organization's access if the Organization materially breaches these Terms, including failure to pay Subscription fees.

13.3 Upon termination, the Organization's access to the Platform will cease. The Organization should request an export of its data as described in Section 7.4.

13.4 Sections 7 (Data Ownership), 9 (Intellectual Property), 11 (Limitation of Liability), 12 (Disclaimer of Warranties), and 14 (Governing Law) shall survive termination.

14. Governing Law & Dispute Resolution

14.1 These Terms shall be governed by and construed in accordance with the laws of Denmark and applicable EU regulations. For disputes relating to U.S.-based Organizations or their students, the applicable provisions of U.S. federal and state laws will also apply as relevant.

14.2 Any disputes arising under these Terms shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, disputes may be submitted to the courts of competent jurisdiction in Copenhagen, Denmark.

15. Changes to These Terms

15.1 KeptSimple reserves the right to update or modify these Terms at any time. Material changes will be communicated via email or through the Platform at least thirty (30) days before taking effect.

15.2 Continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.

16. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy available at keptsimple.net/privacy and any order forms or addenda, constitute the entire agreement between the Organization and KeptSimple regarding the Platform.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver. Failure by KeptSimple to enforce any provision shall not constitute a waiver of that provision.

Assignment. The Organization may not assign its rights or obligations under these Terms without KeptSimple's prior written consent. KeptSimple may assign these Terms in connection with a merger, acquisition, or sale of assets.

Notices. All notices under these Terms shall be sent to the email address associated with the Organization's account, or to KeptSimple at the contact information provided on the Platform.
